Terms of Service for Subsivo Subscription Automation Inc.

1. Agreement to Terms

 

Welcome to Subsivo. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Member,” “you,” or “your”) and Subsivo Subscription Automation Inc. (“Subsivo,” “we,” “us,” or “our”).

By creating an account, accessing, or using our software platform and services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

 

2. Definition of the Service

 

Subsivo provides a B2C (Business-to-Consumer) Software-as-a-Service (SaaS) platform. The Service is designed to allow registered members to manage and track their personal third-party subscriptions and to access independent technical support services, all through a secure client portal.

 

3. Eligibility and Account Registration

 

The Service is a private platform available only to individuals who have received a valid invitation and completed the registration process (“Registration”).

By registering for an account, you represent and warrant that: a) You are at least 18 years of age and have the legal capacity to enter into a binding contract. b) All information you provide during Registration (including your full name and contact information) is accurate, current, and complete. c) You will maintain the security of your account password and are responsible for all activities that occur under your account.

 

4. Fees, Billing, and Payment

 

a) Subscription Fees: Subsivo is the sole merchant of record for all transactions on this platform. Access to the Service requires the purchase of a subscription plan (“Subscription”). All applicable fees for your chosen Subscription will be presented to you at the time of purchase.

b) Direct B2C Transaction: All subscription fees (“SaaS Fees”) are paid directly by you to Subsivo Inc. in exchange for access to our software platform and support services. These SaaS Fees are the exclusive revenue of Subsivo Inc. and are not funds held or remitted on behalf of any other party.

c) Billing: We use a third-party payment processor to bill you on a recurring basis. By providing a payment method, you authorize us (through our processor) to charge your payment method for your Subscription.

 

5. User Responsibility for Third-Party Services

 

This is a critical component of our agreement.

a) Subsivo is an Independent Software Provider: We are an independent, third-party support and management software. We are not affiliated with, partnered with, or an agent for any of the third-party providers or subscriptions you choose to manage using our platform.

b) You Are Responsible for Your Subscriptions: You are solely and exclusively responsible for all payments, fees, and contractual obligations related to any third-party services you manage through the Subsivo platform.

c) Subsivo is NOT a Financial Intermediary: The Service is a software utility, not a payment or money transmission service. Subsivo is not a Payment Service Provider (PSP), Money Service Business (MSB), Payment Agent, or financial intermediary.

d) No Remittance of Funds: Subsivo does not pay for, remit, aggregate, or process payments on your behalf to any other merchant or third-party service provider. All fees paid to Subsivo are for our software and support, and nothing else.

 

6. Acceptable Use

 

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. You will not:

  • Share your account credentials with any other person.

  • Use the Service to manage any subscription or account that is not your own.

  • Reverse engineer, decompile, or attempt to extract the source code of the Service.

  • Use the Service in any manner that could damage, disable, or impair our servers or networks.

 

7. Termination

 

You may terminate your account and these Terms at any time by canceling your Subscription through your account portal.

We reserve the right to suspend or terminate your account and access to the Service, without prior notice or liability, if you breach these Terms or for any other reason at our sole discretion.

 

8. Disclaimer of Warranties

 

The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

 

9. Limitation of Liability

 

To the fullest extent permitted by law, in no event shall Subsivo Subscription Automation Inc., its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

 

10. Governing Law and Dispute Resolution

 

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall be resolved through the courts of Toronto, Ontario.

 

11. Changes to Terms

 

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and/or by notifying you via email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
